PLEASE READ THESE TERMS OF USE CAREFULLY BEFORE ACCESSING OR USING THE VILLA OF LOVE PLATFORM. THESE TERMS CONSTITUTE A LEGALLY BINDING AGREEMENT BETWEEN YOU AND HEART2BEATZ INC.
By accessing or using the Villa of Love website, mobile application, or any related services, you confirm that you are at least 18 years of age, that you have read and understood these Terms of Use in their entirety, and that you agree to be legally bound by them. If you do not agree to these Terms of Use, you must not access or use the Platform.
In these Terms of Use, the following terms shall have the meanings ascribed to them below:
By accessing or using the Platform in any manner — including without limitation browsing the website, downloading the mobile application, creating an account, submitting an application, purchasing a membership or subscription, participating in community features, or consuming any content — you agree to be legally bound by these Terms of Use and our Privacy Policy, which is incorporated herein by reference.
These Terms of Use apply to all users of the Platform, including without limitation browsers, registered users, Founder Circle members, Premium subscribers, and any other persons who access the Platform.
If you are using the Platform on behalf of an organisation or entity, you represent and warrant that you have the authority to bind that organisation to these Terms of Use.
Access to and use of the Platform is restricted to individuals who are at least 18 years of age. By accessing or using the Platform, you represent and warrant that:
Heart2Beatz Inc. reserves the right to refuse access to the Platform to any person for any reason at its sole discretion, including where we reasonably believe that a user does not meet the eligibility criteria set out above.
To access certain features of the Platform, you must create an account. When creating an account, you agree to provide accurate, truthful, and complete information and to keep such information updated at all times.
You are solely responsible for maintaining the confidentiality of your account credentials, including your password. You must not share your account credentials with any third party. You agree to notify us immediately at hello@villaoflovenaija.com if you become aware of any unauthorised use of your account or any other breach of security.
You are fully responsible for all activities that occur under your account, whether or not you authorised such activities. Heart2Beatz Inc. shall not be liable for any loss or damage arising from your failure to maintain the security of your account credentials.
Each individual may maintain only one registered account on the Platform. The creation of multiple accounts by the same individual is strictly prohibited and may result in the suspension or permanent termination of all associated accounts without notice or refund.
The Founder Circle is a limited founding membership programme available on a first-come, first-served basis to the first 2,000 eligible users who complete a one-time membership purchase through the Platform. The Founder Circle is a digital membership programme that confers the benefits described below and does not constitute equity ownership, partnership, franchise, agency, or any other form of business relationship with Heart2Beatz Inc.
Upon successful completion of a Founder Circle membership purchase, members will receive the following benefits:
The Founder Circle is strictly limited to 2,000 memberships. Once all 2,000 memberships have been purchased, the Founder Circle offer will close permanently and will not reopen. The Founder Circle offer may also close prior to reaching 2,000 members at the sole discretion of Heart2Beatz Inc., including upon the commencement of production of Villa of Love Season 1.
Purchase of a Founder Circle membership does not guarantee, imply, or constitute any right to appear in, be cast in, or participate as a contestant in Villa of Love or any other production by Heart2Beatz Inc. Casting decisions are made entirely at the sole discretion of Heart2Beatz Inc. and its production partners.
Inclusion of a Founder Circle member's name in the Season 1 production credits is subject to the member maintaining an active account in good standing at the time of production. Heart2Beatz Inc. reserves the right to exclude any member's name from the credits if their account has been suspended or terminated for violation of these Terms of Use or our Community Guidelines.
Founder Circle memberships are personal to the purchasing member and are non-transferable. Founding numbers are permanently assigned to the original purchasing account and cannot be transferred, sold, gifted, or reassigned to any other account or individual.
All Founder Circle membership purchases are final and non-refundable, except as required by applicable consumer protection laws in your jurisdiction. Where refunds are required by law, they will be processed in accordance with the refund policies of Apple App Store or Google Play Store, as applicable.
The Premium subscription provides access to full episode content, exclusive clips, and additional Platform features on a recurring subscription basis. Premium subscription pricing, billing frequency, and included features are as displayed on the Platform at the time of purchase and are subject to change with reasonable notice.
Founder Circle members receive full Season 1 Premium access included with their membership and are not required to purchase a separate Premium subscription for the duration of Season 1. Premium access for Founder Circle members is subject to the same terms and conditions as a standard Premium subscription.
Subscription billing is managed through Apple App Store and Google Play Store. Cancellations, upgrades, and billing enquiries must be managed through your respective app store account settings.
Villa of Love Season 1 features a grand prize pool of One Hundred Million Nigerian Naira (₦100,000,000) (the "Grand Prize"). The Grand Prize is available to eligible participants in the Villa of Love production as determined by the show format and production rules.
The Grand Prize is subject to separate production terms and conditions that will be provided to eligible participants at the appropriate stage of the production process. The availability, structure, and conditions of the Grand Prize are subject to change at the sole discretion of Heart2Beatz Inc. and its production partners.
Founder Circle membership does not confer any right, entitlement, or eligibility for the Grand Prize. Platform users who are not selected as show participants are not eligible for the Grand Prize.
Any Grand Prize awarded will be subject to applicable Nigerian tax laws and regulations. Winners are solely responsible for any and all tax obligations arising from receipt of the Grand Prize.
The Platform and all Content — including but not limited to the Villa of Love name, logo, tagline, show format, video content, graphics, user interface design, software, text, and all other materials — are the exclusive property of Heart2Beatz Inc. or its licensors and are protected by applicable intellectual property laws including copyright, trademark, and design rights.
Nothing in these Terms of Use shall be construed as granting you any licence or right to use any of Heart2Beatz Inc.'s intellectual property without our prior written consent.
You may not, without our prior written consent:
By submitting, posting, or transmitting any User Content through the Platform, you grant Heart2Beatz Inc. a worldwide, non-exclusive, royalty-free, sublicensable, and transferable licence to use, reproduce, distribute, prepare derivative works of, display, and perform your User Content in connection with the Platform and Heart2Beatz Inc.'s business operations.
You represent and warrant that you own or have the necessary rights to grant the licence described above and that your User Content does not infringe the intellectual property rights of any third party.
You agree that you will not use the Platform to:
Heart2Beatz Inc. reserves the right to investigate any suspected violations of this section and to take appropriate action, including suspension or termination of your account, removal of content, and referral to law enforcement authorities.
The Villa of Love community is built on respect, authenticity, and shared passion for the Platform. By participating in any community features, you agree to engage in a manner that is respectful, constructive, and consistent with the spirit of the Platform.
We reserve the right to remove any User Content and to suspend or terminate any account that we determine, in our sole discretion, to be in violation of these Terms, our Community Guidelines, or the spirit of the Villa of Love community. Content moderation decisions are final.
THE PLATFORM IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.
Heart2Beatz Inc. makes no warranty that the Platform will be uninterrupted, error-free, secure, or free of viruses or other harmful components. We do not warrant the accuracy, completeness, or reliability of any content available on the Platform.
To the fullest extent permitted by applicable law, Heart2Beatz Inc. and its officers, directors, employees, agents, licensors, and service providers shall not be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages arising out of or in connection with your use of or inability to use the Platform, even if we have been advised of the possibility of such damages.
In no event shall Heart2Beatz Inc.'s total liability to you for all claims arising out of or relating to these Terms or your use of the Platform exceed the amount paid by you to Heart2Beatz Inc. in the twelve months preceding the claim.
You agree to defend, indemnify, and hold harmless Heart2Beatz Inc. and its officers, directors, employees, agents, licensors, and service providers from and against any and all claims, liabilities, damages, judgments, awards, losses, costs, expenses, and fees (including reasonable legal fees) arising out of or relating to your violation of these Terms of Use, your use of the Platform, your User Content, or your violation of any third-party rights.
Heart2Beatz Inc. reserves the right to suspend or terminate your access to the Platform at any time, for any reason, with or without notice, at our sole discretion. Grounds for termination include but are not limited to violation of these Terms of Use, violation of our Community Guidelines, fraudulent activity, or conduct that we determine to be harmful to the Platform, other users, or Heart2Beatz Inc.
Upon termination of your account, all licences granted to you under these Terms will immediately cease. Sections of these Terms that by their nature should survive termination will remain in effect, including without limitation intellectual property provisions, disclaimers, indemnification obligations, and limitation of liability provisions.
You may close your account at any time by contacting us at hello@villaoflovenaija.com. Closing your account does not entitle you to a refund of any paid memberships or subscriptions.
These Terms of Use shall be governed by and construed in accordance with the laws of the State of Delaware, United States of America, without regard to its conflict of law provisions.
Any dispute, controversy, or claim arising out of or relating to these Terms of Use, the Platform, or the breach, termination, or validity thereof shall first be subject to good-faith negotiation between the parties. If such dispute cannot be resolved through negotiation within 30 days, the parties agree to submit to binding arbitration in accordance with the rules of a mutually agreed arbitration body.
Notwithstanding the above, Heart2Beatz Inc. reserves the right to seek injunctive or other equitable relief in any court of competent jurisdiction to protect its intellectual property rights or confidential information.
Nothing in this section shall limit the rights of users in jurisdictions where mandatory consumer protection laws apply, including Nigerian users whose rights under Nigerian law remain unaffected.
Heart2Beatz Inc. reserves the right to modify these Terms of Use at any time. We will notify you of material changes by posting the updated Terms on this page with a revised effective date and, where appropriate, by sending a notification to your registered email address.
Your continued use of the Platform following the posting of any updated Terms constitutes your acceptance of such changes. If you do not agree to the updated Terms, you must discontinue your use of the Platform immediately.
Entire Agreement: These Terms of Use, together with our Privacy Policy and any other policies referenced herein, constitute the entire agreement between you and Heart2Beatz Inc. regarding your use of the Platform and supersede all prior agreements and understandings.
Severability: If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect.
Waiver: Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.
Assignment: You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations under these Terms without restriction.
Force Majeure: Heart2Beatz Inc. shall not be liable for any failure or delay in performance resulting from causes beyond our reasonable control, including acts of God, natural disasters, pandemic, war, terrorism, government action, or failure of third-party services.
